Welcome to Sourced It. These Terms and Conditions (“Terms”) govern your access to and use of the website, platform, and marketplace services provided by Sourced It. (“Sourced It,” “we,” "us," or “our”), a business under the laws of Canada.
By creating an account, depositing funds, routing leads, or purchasing leads on the Sourced It platform (the “Platform”), you agree to be bound by these Terms.
1. The Hybrid Marketplace Model
Sourced It operates a commercial, business-to-business (B2B) pay-per-lead marketplace with a dual-role infrastructure:
Primary Supplier: Sourced It generates and sells its own proprietary leads directly to Buyers.
Platform Facilitator: Sourced It provides technology, routing workflows, and a digital venue allowing approved third-party lead generation companies (“Third-Party Vendors”) to list, route, and sell their leads directly to Buyers.
Except for leads explicitly designated as generated by Sourced It, we do not independently verify or control the day-to-day operations or data-gathering methodologies of Third-Party Vendors. Sourced It is never a party to any ultimate service agreement or contract executed between a Buyer and an end-consumer.
2. Account Tiers and Registration
Commercial Use Only: The Platform is strictly a B2B network. It is not directed toward, nor intended for use by, individual retail consumers. You warrant that you are acting solely for commercial or professional business purposes. You acknowledge that consumer right-of-cancellation laws do not apply to transactions on this Platform.
Security: You are responsible for keeping your account credentials, passwords, and system API keys secure. All activities occurring under your account are your sole responsibility.
3. Terms for Lead Buyers
The Marketplace Wallet: To purchase leads in real time, Buyers must maintain a prepaid credit balance ("Wallet") funded via credit card, ACH, or other approved payment methods.
Non-Refundable Deposits: All deposits made into the Marketplace Wallet are non-refundable and must be utilized to purchase leads on the Platform, except where prohibited by applicable provincial law.
Lead Reclamation (Disputes): If a purchased lead contains invalid information (e.g., disconnected phone number, fake contact info), Buyers may submit a "Reclamation Request" through the platform dashboard within 48 hours of lead delivery. Sourced It reserves the right to approve or deny credits back to the Buyer's Wallet based on platform verification and system logs.
Marketing Compliance: Buyers explicitly warrant that any outbound contact made to individuals or entities acquired through the Platform will strictly comply with Canada’s Anti-Spam Legislation (CASL), the National Do Not Call List (DNCL) rules, and provincial consumer protection acts.
4. Terms for Third-Party Vendors (Lead Sellers)
Data Provenance & Compliance: Third-Party Vendors represent and warrant that every lead routed to the marketplace was collected using transparent, clear, opt-in consumer forms in strict compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA).
Exclusivity Tiers: If a Vendor lists a lead as "Exclusive," the Vendor warrants that they have not, and will not, sell or distribute that same data set to any other external party.
Clawback & Payouts: Earnings accumulate in the Vendor’s balance and are processed on a [e.g., Net-30] basis in Canadian Dollars (CAD). Sourced It reserves the right to deduct or "claw back" funds from a Vendor's balance if a lead they provided is successfully reclaimed by a Buyer for fraud, invalid data, or lack of compliant opt-in consent.
5. Anti-Circumvention & Non-Solicitation (Platform Protection)
Non-Bypass: Buyers and Third-Party Vendors are strictly prohibited from using the Platform to identify one another for the purpose of transacting, buying, or selling leads directly outside of Sourced It.
Liquidated Damages: If a Buyer and a Third-Party Vendor circumvent the Platform to conduct direct commercial lead-trading, Sourced It reserves the right to immediately terminate both accounts without notice, forfeit any remaining Wallet balances, and seek liquidated damages equal to 30% of the estimated gross transactional value of all leads traded off-platform, plus reasonable legal fees.
Non-Solicitation: Third-Party Vendors shall not scrape, harvest, or reverse-engineer buyer profiles, specific lead matching rules, or platform algorithms to directly solicit Sourced It’s established customer base or mimic its workflows.
6. Fees, Currency, and Taxes
Currency: All marketplace list prices, wallet balances, transaction fees, and vendor payouts are denominated and processed in Canadian Dollars (CAD) unless explicitly stated otherwise.
Taxes: All marketplace fees are exclusive of taxes. Users are responsible for their own corporate tax obligations. Sourced It will assess and collect federal and provincial sales taxes (GST/HST/PST/QST) on platform usage and subscription fees based on the user's operating province.
7. Limitations of Liability & Indemnification
Disclaimer: THE PLATFORM AND ALL LEADS ARE PROVIDED “AS IS.” EXCEPT FOR SPECIFIC LEAD ORIGIN CONDITIONS IDENTIFIED BY SOURCED IT, SOURCED IT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED CONDITIONS OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR LEAD CONVERSION RATES.
Liability Cap: Sourced It’s aggregate liability for any claim arising out of this agreement will not exceed the greater of (A) CAD $200.00, or (B) the total platform platform-fees paid by you to Sourced It in the fifteen (15) days preceding the event giving rise to liability.
Indemnification: You agree to indemnify, defend, and hold harmless Sourced It Inc. against any third-party claims, regulatory fines (including CASL or PIPEDA penalties), or losses arising from your breach of these Terms, submission of unconsented lead data, or misuse of purchased consumer info.
8. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario.
